Article 5 - Decision-Making Process
Standard Decision-Making Process. Unless stated otherwise in these Bylaws, the standard decision-making process shall be used.
- Matters will be discussed with the goal of reaching consensus.
- If consensus cannot be reached through discussion, a vote will be held.
- Proposals can be carried by simple majority vote (50% plus one), except as otherwise provided in these bylaws.
Modified Consensus Decision-Making Process. For matters specifically designated in these Bylaws or when referred by the Board, the modified consensus process shall be used.
- Matters will be discussed with the goal of reaching consensus.
- If consensus cannot be reached, Members will vote on whether the issue must be decided at the current meeting or can be tabled for future discussion.
- If at least 75% of the quorum believe that an immediate decision is needed, voting will be held on proposals regarding the issue.
- The proposals can then be carried by 75% vote, except as otherwise provided in these bylaws.
