Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Services") provided by Onclick Cooperative Inc ("Onclick," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services.

About Onclick

Onclick is a worker-owned cooperative incorporated in Texas. We build software tools for democratic organizations, including our Governance platform for cooperatives, Pages for content management, and Schema Harbor for schema management. We also provide web development, accessibility, and consulting services.

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Registration

To access certain features of our Services, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use our Services to transmit harmful, offensive, or illegal content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Reverse engineer, decompile, or attempt to extract the source code of our software
  • Use automated means (bots, scrapers, etc.) to access our Services without permission
  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, abuse, or harm other users
  • Use our Services to send spam or unsolicited communications

Your Content

Our Services may allow you to create, upload, or share content ("Your Content"). You retain ownership of Your Content, but you grant us a limited license to use it as necessary to provide our Services to you.

You are solely responsible for Your Content and represent that:

  • You own or have the necessary rights to use and share Your Content
  • Your Content does not infringe on the intellectual property or privacy rights of others
  • Your Content complies with applicable laws and these Terms

We do not endorse or guarantee the accuracy of any user content. We reserve the right to remove content that violates these Terms.

Subscription Services

Paid Plans

Some of our Services require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase.

Billing

  • Subscription fees are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method for all fees when due
  • All fees are non-refundable except as expressly stated in these Terms or required by law

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to paid features until the end of your current billing period
  • Your subscription will not renew, and no further charges will be made
  • We do not provide prorated refunds for partial billing periods

Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing period. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

Intellectual Property

Our Property

The Services, including all software, designs, text, graphics, logos, and other materials, are owned by Onclick or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our materials without our express written permission.

Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant us the right to use that feedback without any obligation to you.

Third-Party Services

Our Services may integrate with or link to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Any defects will be corrected
  • The Services will meet your specific requirements

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ONCLICK AND ITS MEMBERS, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Onclick and its members, officers, and employees from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services will immediately cease
  • We may delete your account and associated data after a reasonable retention period
  • Provisions of these Terms that by their nature should survive termination will remain in effect

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles.

Informal Resolution

Before filing any legal claim, you agree to try to resolve any dispute informally by contacting us at legal@onclickcoop.dev. We will attempt to resolve the dispute through good-faith negotiation.

Jurisdiction

If informal resolution fails, any legal action must be brought in the state or federal courts located in Texas. You consent to the exclusive jurisdiction of these courts.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Onclick regarding the Services.
